| Infosys Limited has informed the Exchange that the Company is in the process of dispatching the Notice of Postal Ballot pursuant to Section 192A of the Companies Act, 1956 read with Companies (Passing of the Resolution by Postal Ballot) Rules, 2011 along with the postal ballot form and a self-addressed postage-paid reply envelope in respect of the resolutions stated in the Notice seeking approval of members to implement the Restricted Stock Units Plan 2011. The dispatch of notice of postal ballot will be completed by September 11, 2011. Voting through postal ballot will commence on September 12, 2011 and will end on October 11, 2011. The Board of Directors has appointed Sri. Parameshwar G. Hegde, Company Secretary in Practice as Scrutinizer for conducting the postal ballot voting process. Members are requested to note that the postal ballot form, duly completed and signed, should reach the Scrutinizer not later than the close of working hours on October 11, 2011. Postal ballots received from members after the closing of working hours on the said date will not be considered as valid. Any member who does not receive the postal ballot form may apply to the Company at its registered office and obtain a duplicate postal ballot form. However, the duly filled duplicate postal ballot form should reach the Scrutinizer not later than the date specified above. The results of the postal ballot will be announced on or before October 18, 2011. |
