| Jsw Energy Limited has informed the Exchange that the resolutions as set out in the notice is proposed to be passed by means of Postal Ballot, pursuant to Section 192A of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001: (1) Special Resolution under Section 61 of the Companies Act, 1956, for variation / revision in the utilization of IPO proceeds for the purposes other than those mentioned in the prospectus dated December 17, 2009; (2) Special Resolution under section 81(1A) and SEBI (Employees Stock Option Scheme and Employee Stock Purchase Scheme) Guidelines, 1999 for grant of option to the permanent employees including Directors of the Company whether whole time or not under Employee Stock Option Scheme; (3) Special Resolution under Section 81(1A) and SEBI (Employees Stock Option Scheme and Employee Stock Purchase Scheme) Guidelines, 1999 for grant of option to the permanent employees including Directors of the Subsidiaries whether whole time or not under Employee Stock Option Scheme. |
